1. AGREEMENT
These Terms and Conditions ("Terms") apply to the purchase of goods detailed in our quotation ("Goods") by you, the buyer, from Crest Healthcare ("we," "us," or "our"), a trading division under Crest Medical Ltd. a company registered in England and Wales. You are deemed to accept these Terms upon (a) accepting them in writing, (b) making a purchase, or (c) upon delivery of the Goods, whichever occurs first. These Terms constitute the entire agreement between us and you, superseding all prior agreements, understandings, or communications. These Terms apply to the exclusion of any other terms you seek to impose or incorporate, or which are implied by trade, custom, practice, or course of dealing.
2. INTERPRETATION
A "business day" means any day other than a Saturday, Sunday, or bank holiday in England and Wales.
3. PRICING
Our pricing structure is based on factors including volume and customization.
We reserve the right to adjust prices if our costs increase due to factors beyond our control, such as material or labour costs, changes in exchange rates, duties, or delivery rates. Prices may or may not include delivery charges, which will be confirmed during the ordering process. While we strive to ensure accurate pricing, errors may occur. If a pricing error is identified for Goods you have ordered, we will notify you and offer the option to proceed at the correct price or cancel the order. Prices are exclusive of VAT and other applicable taxes or levies imposed by any competent authority.
4. PAYMENT TERMS
Payment terms for credit accounts are thirty (30) days from the invoice date unless otherwise agreed in writing.
5. LATE PAYMENT PENALTY
We reserve the right to charge interest on overdue invoices at a rate of 3% above the Bank of England Base Rate from the due date until payment is made in full.
6. MINIMUM ORDER QUANTITY
The MOQ for each product is determined by the expected output from a single shift of production (approximately 8 hours). MOQs may vary depending on pack size and machine speed. Relevant MOQs are provided on the product pricing page.
7. SMALL ORDER SURCHARGE
Orders below the specified small order quantity will incur a surcharge based on the effective changeover cost within shifts. These charges will be discussed and agreed upon on a case-by- case basis.
8. FIRST TIME SET-UP COST
Products significantly different from our standard manufacturing procedures require dedicated set-up and testing to ensure quality and cost accuracy. Additional costs will be applied based on this process.
9. LEAD TIME
Estimated lead times, including expected collection and manufacturing dates, will be communicated once materials are secured and production slots are reserved. Lead times may change due to supply delays, machine downtimes, or quality issues. We will provide updates as soon as possible.
10. ORDER CHANGES
Order changes, such as changes to the required items, required quantities and preferred shipping dates, must be submitted to our Customer Service team within 5 business days of receiving the order confirmation. This excludes specification changes, which must be handled separately.
11. RAW MATERIAL SUPPLIED BY CUSTOMER
Customer-supplied raw materials will be handled according to our warehousing and handling standards. If scheduled production is disrupted due to late or insufficient deliveries, causing significant loss, the customer will be responsible for such disruptions. Customer deliveries of raw materials must be booked in advance via Goods In at Crest Medical, with a one- week lead time for booking slots.
12. QUALITY SPECIFICATIONS
Customers must provide clear and detailed quality standards and procedures for raw materials and the manufacturing process to avoid defective inputs. These initial specifications must be approved by Crest Healthcare. If any part of the process lacks specific requirements from the customer, our standard manufacturing procedures and quality control measures will be applied to ensure product integrity. Both parties are responsible for implementing and adhering to strict quality control measures throughout the manufacturing process.
• Packaging Standards. Packaging requirements to protect products during transit and storage will be specified in the product specifications.
• Labelling Requirements. All labeling must comply with applicable regulations and customer specifications.
13. RETURNS
You must inspect the Goods upon delivery or collection. Any damages or shortages must be reported in writing within 5 business days of delivery. We will only accept returns if the Goods are defective and, if required, have been inspected by us. Subject to compliance with this clause, we will re-work, replace, or refund the Goods in part of in full. We will not be liable if you fail to notify us within the specified timeframe or if you continue to use the Goods after notifying us of damages or shortages. You bear the risk and cost of returning the Goods. Acceptance of the Goods is deemed upon your inspection and, in any event, within 48 hours after delivery.
14. SHIPPING TERMS
The price of a Product may or may not include delivery charges, which will be communicated to you during the ordering process for your confirmation. Delivery terms and responsibilities for shipping costs will be specified, such as FOB (Free On Board) or CIF (Cost, Insurance, and Freight).
15. OWNERSHIP
Ownership of the Goods remains with us until all amounts owed by you to us are paid in full, not just the price of the Goods.
16. JURISDICTION
These Terms are governed by and interpreted in accordance with English law. All disputes arising under these Terms are subject to the exclusive jurisdiction of the English courts
